1. Our services and SPIN have their own terms

These terms cover the site only. Our services (Managed Teams, Build-Operate-Transfer, Global Capability Centers and related work) are provided under a written agreement with each client. SPIN, our spend-intelligence product at spin.colab91.com, is governed by the SPIN Terms of Service. If one of those agreements conflicts with these terms, that agreement wins for the service it covers.

How we handle personal information is explained in our Privacy Policy.

2. Using the site

You may use the site to learn about Colab91 and to contact us. You may view, download and print pages for your own business or personal use, as long as you keep any copyright and other notices on them.

You must not:

• use the site in a way that breaks any law or regulation, or for any fraudulent or harmful purpose;
• try to gain unauthorized access to the site, the systems that run it or any data, or test, probe or scan them for vulnerabilities without our written permission;
• disrupt or overload the site, or introduce viruses, malware or other harmful code;
• send spam, automated or bulk submissions through our forms, or submit information that is false or that you have no right to share;
• pretend to be someone else, or misrepresent your connection with any person or business;
• copy, republish or sell content from the site as your own, or use it to build a competing product, except as these terms allow.

We may suspend or restrict access to the site, or to any part of it, at any time, for example for maintenance or to protect it.

3. Our content and trademarks

The site and its content (text, graphics, designs, logos, video and code) belong to Colab91 or the people who license it to us, and are protected by copyright, trademark and other laws. Colab91, Sum of Parts, SPIN and the related logos are our trademarks. These terms do not give you any right to use them other than to refer to Colab91 accurately.

If you think something on the site infringes your rights, write to us at contact@colab91.com with the details and we will look into it.

4. Information on the site

The site describes our services, our approach and our product for general information. It is not professional, legal, tax, financial or investment advice, and it is not an offer to provide any service on particular terms. Descriptions, examples and figures (such as typical cost savings or stage outcomes) are illustrative: results depend on each client's circumstances, and any engagement is defined in its own agreement.

Blog articles reflect the authors' views when they were written and may not be updated. We work to keep the site accurate and current, but we do not promise that every page is complete, correct or up to date.

5. What you send us

When you contact us through the site or by email, please do not send confidential information, information about other people that you have no right to share, or special categories of personal information (for example health information). We are under no obligation to respond, and contacting us does not create a client relationship or any obligation of confidentiality beyond what our Privacy Policy describes.

If you send us ideas or feedback about the site, our services or SPIN, we may use them without any obligation to you.

Job applications are handled as our Privacy Policy describes. Applying does not create any employment relationship or obligation.

6. Links and third-party services

The site links to websites and services we do not control, such as LinkedIn profiles and articles we cite. We are not responsible for their content or practices; their own terms and privacy policies apply.

7. Disclaimers

To the fullest extent the law allows, the site is provided as is and as available, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the site will be uninterrupted, secure or free of errors or harmful components.

8. Limitation of liability

To the fullest extent the law allows, Colab91 and its officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to your use of, or inability to use, the site, even if we were told such damages were possible.

To the fullest extent the law allows, our total liability for any claim arising out of or relating to the site is limited to one hundred US dollars (USD 100).

Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence.

9. Your responsibility for misuse

If you use the site in breach of these terms or the law, you agree to cover the reasonable losses and costs (including reasonable legal fees) that Colab91 incurs as a result, to the extent the law allows.

10. Governing law and disputes

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these terms or the site will be brought exclusively in the state or federal courts located in Delaware, and you and Colab91 consent to their jurisdiction. If you use the site as a consumer, this does not take away any protection you have under the mandatory laws of the country where you live.

11. General

If any part of these terms is found unenforceable, the rest stays in effect. If we do not enforce a right straight away, we have not given it up. You may not transfer your rights under these terms; we may transfer ours to a successor business. These terms are the whole agreement between you and us about the site.

12. Changes to these terms

We may update these terms from time to time. We will post the new version on this page and change the date at the top. The terms in force when you use the site apply to that use.
